Valuation: What Every Seller Should Know

Sellers are usually successful at doing whatever they do for a living. That doesn’t mean they’re fully aware of how complex their businesses may be, or even what their main drivers of success are.

Sellers are sometimes surprised at the questions they get from buyers during due diligence: questions that may address areas that they spend little time thinking about.

Our presentation will focus on getting the seller better prepared for going to market. We will spend time describing typical dialogues between the buyer and seller and questions that often arise. Answers to these questions often determine whether the buyer wants to continue the discussion and, if so, what the buyer is willing to pay.

Our Panel:

Salem D. Shuchman, Entrepreneur Partners

Salem Shuchman, taking the buyer’s role, is a veteran private equity investor with a 20 year track record. Salem is a managing partner at Entrepreneur Partners, a Philadelphia-based investor focused on B-to-B and B-to-C direct marketers. Prior to this, he was a Senior Partner at Apax Partners (1993-2005) running the leveraged transaction group, and prior to that a Principal at Odyssey Partners (1985-1993).

Steve N. Economou, Baker Tilly Capital, LLC

Steve Economou, taking the role of financial advisor to the seller, is a Managing Director with Baker Tilly Capital, LLC, with more than thirty years of diverse corporate finance expertise in mergers and acquisitions, private equity, management buyouts, and financial opinions. He has completed hundreds of transactions and advisory assignments. Steve focuses on providing financial advisory services to mid- and small- cap public companies, and mid-market private companies.

Bob Siwicki (Moderator), Siwicki Greenberg, LLC

Bob Siwicki provides valuation advice to business owners in connection with mergers and acquisitions, corporate reorganizations, estate planning, equity compensation issues, and buy-sell agreements. Bob has practiced for over 30 years and is the co-founder with Amy Greenberg of Siwicki Greenberg, LLC. Prior to that, Bob was a Managing Director with FleetCapital Markets (2000-2004) and Howard, Lawson & Co. (1989-2000).
