    This year marks the 7th joint Exit Planning Exchange Connecticut (XPX Connecticut) and Connecticut Chapter of the Association for Corporate Growth meeting on exit planning.

    We will interview a seasoned private equity backed CEO, Tim Shanley. Tim is a four time private equity backed CEO - Carvel Ice Cream (Roark Capital), Victoria pasta sauce (Huron Capital), Ronnoco Coffee (Huron Capital) and now Tall Tree Foods (Altamont Capital). He will share stories of best practices and lessons learned in navigating one or more exits from businesses (from both the buyer and seller perspective). This meeting should provide valuable feedback to advisors as to what works and what doesn’t to add value in the planning process leading up to a successful exit. The panel will be moderated by Ramsey Goodrich, Managing Partner of Carter Morse & Goodrich.

    Tim Shanley, President/CEO of Tall Tree Foods

    Tim is currently President/CEO of Tall Tree Foods, a specialty Protein company with four authentic, super-regional Brands. He is leading the repositioning of the brands, streamlining of the supply chain, and professionalizing of the organization to a more relevant, on-trend, growth business.

    Most recently he was Interim CEO of Ronnoco Coffee, the leading provider of Specialty Coffee and quality beverage services in the mid-west. Ronnoco is a portfolio company of Huron Capital. He led the efforts to reinvigorate the team, set clear priorities and identify the critical value-creation levers. He led the search for the permanent CEO and still serves on the board.

    Prior to Ronnoco he was CEO of Victoria Fine Foods. He created a clean-up, high growth strategy to build the premier, PREMIUM pasta sauce company in the nation. He crafted a coherent Brand image built around a unique, ownable positioning ("Ingredients Come First") leading to a doubling of branded sales and household penetration. The team overhauled the business, leading to an inspiring balance sheet and flexible organization, and ultimately a sale to B&G Foods.

    This presentation will examine the advantages of utilizing an ESOP to create a glide path exit for business owners with a strong commitment to existing management and employees. The discussion will focus on the tax advantages of selling to an ESOP as well as the financial structuring that allows an owner to stay engaged with the business, remain CEO and Board Chair and sell his interests in an orderly process over a period of years. The presentation will address sales by C corps as well as S corps and the use of post transaction equity grants to allow for equity transfer to management employees beyond the required nondiscriminatory allocation of stock under the ESOP.

    Jay Friedman, Wilkins Finston Friedman Law Group LLP

    Jay Friedman has over 30 years of experience with the employee benefit aspects of mergers and acquisitions, all aspects of qualified retirement plans with an emphasis on the implementation and operation of private company leveraged employee stock ownership plans (ESOPs). In Jay’s ESOP practice he has implemented multiple private company ESOP’s on an annual basis for over a decade. These ESOP’s have been implemented for businesses ranging from insurance to construction, including both Subchapter S corporations as well Subchapter C corporations.

    Jay also has extensive experience in the area of plan mergers and issues concerning collective bargaining agreements and the impact of multiemployer pension plans and the imposition of withdrawal liability. In the general tax area, he spends considerable time in all areas of deferred compensation taxation. In the tax qualified plan area, Jay's practice focuses on assisting clients in handling correction of plan operational errors and failures to file under ERISA. Jay frequently assists clients under examination by the Internal Revenue Service in the employee plans area, as well as Department of Labor investigations involving clients in their capacity as plan sponsors and fiduciaries of all ERISA regulated plans, including ESOP’s. Jay also spends considerable time providing ERISA litigation support and has argued before the US 5th Circuit Court of Appeals on multiple occasions.

    Everyone at XPX has deep experience working with privately-held businesses and their owners.   Our members represent 12 professions but are united by 5 core principles. In XPX meetings held very month in ten geographies across the U.S., this rich community of advisors gets together to build relationships and learn from each other.  

    This is your chance to experience the magic of our network even If you can’t make it to one or all of our live meetings. You’ll meet other advisors including XPX Members and Leaders. They will explain their role in the exit planning ecosystem, share a collaboration story and describe what they get out of XPX. We also leave time for discussion and introductions of all joining the meeting.

    This program is recommended for advisors wishing to experience XPX for the first time, those wishing to connect outside their home geography and Founders of Chapters in Formation.

    LEADERSHIP COLLABORATIVE FOR CHAPTER FOUNDERS

    After the networking session, we’ll adjourn to a closed meeting with the teams of the founding teams of our newest XPX Chapters. This session uses the format used in the XPX Leadership Collaborative to encourage relationships, learning and innovation across our network. The goal is to share knowledge and experience to fuel your Chapter development activities.
