Entrepreneurs oftentimes are not aware of the various options they may have to solve their capital needs. While an outright sale to a competitor is an obvious option, other paths may be available, including a partial recapitalization, debt financing or instituting an employee stock ownership plan (ESOP). Our panel will consist of 3 professionals providing their investment banking, legal and personal financial advisory perspectives to the family business in our case study.

Our panel comprises:

Stephen Berman – Managing Director, CSG Partners 

Steve was formerly a Managing Director of Prudential-Bache Interfunding, Inc., the merchant-banking arm of Prudential Securities Incorporated. He co-managed an $800 million fund that made private equity and debt investments in leveraged transactions, which closed transactions with aggregate investments and commitments of $1.4 billion. Steve was also the co-founder of Seaport Capital Inc., a merchant banking operation formed to manage the private equity portfolio of Prudential-Bache Capital Partners I and II, L.P. 

Jim Abbott – Partner, Seward & Kissel 

James E. Abbott is a partner in the Business Transactions Group within the Corporate Finance Department at Seward & Kissel.  Jim has practiced law since 1984.  He joined Seward & Kissel as a partner in 2007. 

Jim represents public and private companies, private investment funds, investment management firms, financial institutions, business owners and managers in connection with a variety of business transactions, financings and general corporate matters.  Representative transactions include mergers and acquisitions, private equity, debt and venture capital transactions, seed capital arrangements, joint ventures, strategic alliances, PIPEs and other public and private securities offerings. 

Tara Thompson Popernik, CFA, CFP®, Director of Research—Wealth Strategies Group, Alliance Bernstein 

Tara Thompson Popernik was named the Director of Research for the Wealth Strategies Group in 2011 and is responsible for leading research initiatives on investment planning and asset allocation issues facing high-net-worth families, family offices, and endowments and foundations. Previously, she was a wealth management specialist, and before that she was a senior investment planning analyst. Prior to joining the firm in 2003, Tara was a paralegal in the Capital Markets Group of Cadwalader, Wickersham & Taft. Tara is a Chartered Financial Analyst charterholder and a CERTIFIED FINANCIAL PLANNER™ professional.
