What’s so Unique about Technology Company Exits? Every company and every exit is unique. How much more unique is exit planning and the exit when the primary asset is technology and intellectual property? How can advisors and owners make sure that the intellectual property is validated, protected and transferrable?

Our panelists have more than 40 years of combined experience representing technology and emerging companies including at exit.

Jennifer D. Silverman - Partner, Ellenoff, Grossman & Schole

Jennifer is a Partner and heads the Intellectual Property practice of Ellenoff, Grossman & Schole. She utilizes her extensive knowledge of trademark, copyright, trade dress, rights of publicity and privacy laws to assist and advise clients on a variety of transactional and adversarial matters.

Jennifer has served clients across the spectrum of industry sectors, and has particular experience at the intersection between fashion and technology, as well as with software.

Jennifer is admitted to the bars of New York and New Jersey and to practice before the courts of the Southern & Eastern Districts of New York. She is a graduate of Touro College Jacob D. Fuchsberg Law Center, where she served as Managing Editor and Associate Editor of the Touro Law Review. She received a B.A. in Political Science from The George Washington University.

Bruce Luehrs, Managing Partner, Rittenhouse Ventures

Bruce was previously a General Partner of the Edison Venture Fund from 1998 through 2006 and has been a banker, entrepreneur, and venture capitalist for the past 30 years. Bruce has extensive experience with both equity and debt financings and is well known in the Philadelphia area, having served as a past Chairman of the Greater Philadelphia Venture Group (now the MAC Alliance) and as an active member of the Mid Atlantic Venture Conference Steering Committee and the Association for Corporate Growth.

Bruce has worked on dozens of transactions. During the past 15 years, Bruce has championed investments in 20 companies totaling more than $65 million. Mr. Luehrs currently sits on the Boards of Tabula Rasa Healthcare(formerly known as CareKinesis), Miria Systems and Core Solutions.

Bruce was commissioned as an officer in the United States Air Force in 1975. He received an MBA from the Kellogg School of Management at Northwestern University following graduation from Duke University with a BA in Economics, summa cum laude.


Aaron J. Polak - Owner, Aaron J. Polak Esquire. NY/PA

Aaron J. Polak started his own law firm in 2008, focusing on corporate law and transactional work. He represents businesses, owners and investors in equity investment, M&A, and general contract, executive employment and commercial matters. Some of his clients are early-stage ventures, and others are in more mature businesses, primarily in the technology, life-science, software, restaurant and retail industries.

Aaron graduated from Boston University School of Law in 1993, magna cum laude, and from Boston University in 1987. He practiced law in New York City, working at law firms, including Arnold & Porter, and as general counsel for several companies. He relocated to Philadelphia in 2011 after nearly two decades in New York, and is admitted to practice in New York and Pennsylvania. He currently serves as a lecturer at University of Pennsylvania School of Law, and had served as an adjunct at New York Law School for over a decade.
