Equity Ownership Structures for Privately Owned Businesses

Mark Bronfman, a Private Wealth Advisor with Sagemark Consulting, and Bob Kalinoski, Attorney with Kalinoski & Riordan, P.A. will present creative equity ownership designs for privately-owned companies. They will discuss their approaches to “Value Architecture for Growth and Succession” spanning executive compensation, equity strategies and exit & legacy planning. They will share the processes they use with clients to establish objectives, evaluate alternatives and recommend strategies to achieve owners’ personal and corporate family wealth outcomes.

Mark Bronfman is a private wealth advisor affiliated with Sagemark Consulting/Lincoln Financial Advisors in Vienna, Va and founder of the BOLD Value team. 

Mark focuses his practice on “Value Architecture for Growth and Succession” spanning executive compensation, equity strategies, and exit & legacy planning. Mark’s clients are primarily business owners and boards for middle market companies in the range of $25M to $2B in revenue. 

Prior to Sagemark, Mark had a successful career with Accenture and Deloitte Consulting focused on financial strategy and scenario planning for Fortune 100 companies.



Robert Kalinoski

An attorney with Kalinoski & Riordan P.A, Robert Kalinoski’s experience in corporate law, tax and estate planning makes him well qualified to handle business succession planning issues. His approach begins with the business entity, enabling long-term operating efficiency, stability and growth. During the life of the company, he helps the principals  coordinate their business and financial operations with their personal financial and estate planning, thereby  allowing  for a well-planned transition for either succession or sale. 

Bob has broad perspective from his service both inside and outside the corporate structure. Among other in-house positions, he was Vice President & Counsel of PHH’s Facilities Management Division. More recently, Bob was Co-Chair of the Corporate & Securities Section at Whiteford, Taylor & Preston and also headed their focus group on succession planning.
