A decision has been made to sell a closely-held business.  What can advisors suggest to owners as the proper steps for a tune-up and safety inspection before talking to prospective buyers?  Our panelists, drawn from investment banking, accounting and the law, will lead a discussion of practical issues to be candidly considered (a/k/a “holding up a mirror to the owners”) and steps to be taken in advance of a sale: to address weaknesses and warts, actual and perceived; to enhance the business; and to otherwise prepare for a successful sale.
We will hear from Alan J. Scharfstein, President of The DAK Group, Ltd., investment bankers specializing in the middle market, of Rochelle Park, NJ; Tom Golden, CPA, managing partner and tax specialist, at Schwartz Lasson Harris Ltd., of Horsham, PA; and Sandy Mozes, Esq., corporate partner, at Fox Rothschild LLP, of Philadelphia, PA.    

Alan J. Scharfstein, The DAK Group

Alan is the President of The DAK Group. He founded DAK in 1984 based upon his belief that mid-market firms deserved the same high level of investment banking expertise that large public corporations received from Wall Street firms. He has personally been involved in negotiating hundreds of Sell Side and Buy Side transactions in a wide range of industries over the past 30 years.  His specialty is understanding how to achieve high value for clients.

Alan brings to mid-market M&A a unique combination of financial sophistication, large corporate transactional and operating experience and the skills necessary to succeed in an entrepreneurial environment. Prior to founding DAK, he served in several executive financial and manufacturing positions with PepsiCo. In addition, he was a senior executive with Universal Folding Box, a privately-held packaging manufacturer and founded, grew, and successfully sold a high tech CAD_CAM manufacturing company.

Alan is a frequent lecturer on growth and exit strategies of privately held businesses, valuation and negotiation strategies. He has been quoted and written about in such publications as the Wall Street Journal, Business Week, Financial Times and Time Magazine. Mr. Scharfstein received a BS in Economics and MBA from the Wharton School of the University of Pennsylvania.

Thomas D. Golden, CPA, Schwartz Lasson Harris LTD

Tom Golden is the managing partner at Schwartz Lasson Harris LTD, a local CPA firm located in Horsham PA. As such he is involved in all areas of the firms audit, tax and consulting engagements. He is primarily responsible for the tax planning and tax compliance matters.

Tom is a member of the Pennsylvania and American Institutes of Certified Public Accountants. He holds a Master of Science in Taxation from Drexel University and a Bachelor of Science in Business Administration from Villanova University.

Sanford K. Mozes, Esq., Fox Rothschild LLP

Sandy is a partner in the Philadelphia office of Fox Rothschild LLP. His practice involves a broad range of corporate matters, including transactional and general corporate work. He concentrates on the representation of large, closely held businesses and professional entities. Clients include manufacturing, distribution, and service providers in a wide variety of industries. A significant portion of Sandy’s practice is devoted to ownership transition planning and agreements among owners.

Sandy is a former elected member of the firm’s Executive Committee and a former Chair of the Corporate Department.

Sandy serves as an outside general counsel and trusted business advisor to his closely held business clients, providing practical guidance on their legal and business issues and finding strategic solutions to help them achieve their goals.  Sandy has a strong understanding of his clients’ operations, advising them through the corporate life cycle, from formation and growth to developing and implementing an exit strategy.  Sandy also has extensive experience serving as a fiduciary for his clients. 

In addition, with established relationships throughout the financial services and investment banking community, Sandy is skilled at pairing companies with the right advisors, investors and business leaders.

Sandy received his BA in Political Science from Queens College, and his JD from the University of Pennsylvania Law School.
