Buy-Sell Agreements increase understanding and facilitate planning by all participants associated with the sale and successful transition of the management of a privately held business. This month's program will feature presentations and a panel discussion led by three experts in the field of buy-sell agreements. 

The discussion will address the critical role of these agreements in the exit planning process.

Our panel comprises:

Nathan DiNatale - Principal, SC&H Group

As one of the major regional resources in fair value valuations, Nathan is extremely active in the AICPA's business valuation committee. He is also the Accredited in Business Valuation (ABV) Champion for Maryland, where he advises other CPA's on how they can obtain their ABV credential. Nathan's educational commitment and strong desire to help others carries over to his clients to assist them in understanding the many aspects of valuation.

Nathan has over 20 years of professional experience in accounting, financial reporting, and valuation services. Nathan's primary role is leading the Valuation Advisory Services practice where he focuses on fair value, including purchase price allocations and goodwill impairments, estate and trust valuations, corporate stock option valuations under 409A and ASC718. In addition, Nathan also has been qualified as an expert witness in economic damages and business valuation in various regional courts.

Marshall B. Paul - Partner, Saul Ewing

Marshall Paul focuses his practice on counseling businesses, health care concerns and professionals with respect to limited liability company matters, general corporate matters, joint ventures, acquisitions and sales, fiduciary duty issues and financings. His clients include large-scale health care providers, technology companies, distributors, service providers and manufacturers of various sizes, as well as individual health care professionals and other professionals.

A co-author of the Maryland Limited Liability Company Act, he served on the American Bar Association committee that drafted the ABA's original Prototype Limited Liability Company Act. Marshall has lectured both locally and nationally regarding limited liability companies and other legal matters. He has co-authored numerous articles on limited liability companies and other legal matters, as well as a widely-used book on limited liability companies. Marshall served for ten years as an adjunct professor at the University of Maryland Law School, where he lectured on partnerships, corporations and limited liability companies.

David DeMuth - Principal, Cornerstone Financial

David DeMuth graduated from The University of Virginia in 1984 with a Bachelor of Arts in Economics. He entered the insurance and investment business in the spring of 1985. He holds the designations of Chartered Life Underwriter* and Chartered Financial Consultant*.

David also holds Series 6, 7 and 65 registrations from the Financial Industry RegulatoryAuthority. He is an Accredited Estate Planner (AEP) and focuses on personal insurance, estate planning and executive benefits for the firm's clients. He has served on the Gilman School board and is a past president of its Alumni Association. He is the immediate past president of the Star Spangled Banner Flag House and Museum.
